Terms of Service — FinanceIQ

Please read these Terms of Service ("Terms") carefully before using FinanceIQ. By creating an account or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Acceptance of Terms

These Terms form a binding legal agreement between you and FinanceIQ ("we", "us", or "FinanceIQ"). By accessing or using the FinanceIQ web application, mobile site, or any related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of the Service

FinanceIQ is a personal finance educational tool. The Service allows users to upload bank statements, parse and categorize their transactions, visualize spending, set financial goals, and receive computer-generated educational recommendations based on published financial-planning frameworks. The Service is informational and educational in nature.

3. Eligibility

The Service is intended for users who are at least eighteen (18) years of age and who reside in the United States. By creating an account, you represent and warrant that you meet these requirements. The Service is not directed at children under 13, and we do not knowingly collect personal information from anyone under 13.

4. Account Registration and Security

To access most features you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for safeguarding your password and for any activity that occurs under your account. You must notify us promptly of any unauthorized access. We are not liable for losses resulting from your failure to keep your credentials confidential.

5. Educational Content — NOT Financial, Investment, Tax, or Legal Advice

The Service is provided for general informational and educational purposes only. Any recommendations, analyses, forecasts, or other content generated by the Service — including but not limited to those produced by artificial intelligence models — do not constitute financial, investment, tax, accounting, legal, or other professional advice. The information is not tailored to your individual financial situation, objectives, or risk tolerance.

You should consult a qualified, licensed financial advisor, accountant, attorney, or other professional before making decisions based on the Service. You are solely responsible for any financial decisions you make. FinanceIQ is not a registered investment adviser, broker-dealer, bank, lender, tax preparer, or law firm, and does not provide services of any of those kinds.

6. User Responsibilities

You agree that:

You will provide accurate information and only upload statements that belong to you.
You will not use the Service for any unlawful, deceptive, or harmful purpose.
You will not attempt to interfere with the Service's operation, reverse engineer it, or use it to build a competing product.
You will not upload viruses, malware, or other malicious content.
You will not attempt to access accounts, data, or systems you are not authorized to access.
You will not scrape, harvest, or extract data from the Service except as expressly permitted.

7. Privacy and Data

Our handling of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to our collection, use, and disclosure of information as described in that policy.

8. Subscriptions and Billing

Certain features ("Pro features") require a paid subscription. Subscriptions renew automatically each billing period until canceled. You may cancel at any time through the Settings page; cancellation takes effect at the end of the current billing period and you retain access until then.

Payments are processed by Stripe, Inc. and are subject to Stripe's terms. We do not store full payment card details on our servers. Refunds are generally not provided for partial billing periods except where required by law.

We may change subscription prices on at least 30 days' notice. If you do not agree to a price change, you may cancel before the change takes effect.

9. Intellectual Property

The Service and all related software, designs, text, graphics, and other content (excluding your own uploaded data) are owned by FinanceIQ or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

You retain ownership of the data you upload. By using the Service, you grant us a worldwide, royalty-free license to use, process, host, store, transmit, display, and analyze your data solely as necessary to provide and improve the Service.

10. Third-Party Services

The Service relies on third-party providers including, without limitation: Anthropic, PBC (AI inference for recommendations); Stripe, Inc. (payments); Resend, Inc. (email delivery); and Railway Corp. (hosting and database). These providers operate under their own terms and privacy policies. We are not responsible for the acts, omissions, or failures of third-party providers, and your use of the Service is subject to those third parties' terms where applicable.

11. Disclaimers — Service Provided "AS IS"

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

The Service is provided "as is" and "as available," without warranty of any kind, express or implied. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, reliability, and quiet enjoyment.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, that the recommendations or analyses produced will be accurate or suitable for any particular purpose, or that the Service will be free of viruses, malware, or other harmful components. Your use of the Service is at your sole risk.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

In no event shall FinanceIQ, its officers, directors, employees, agents, affiliates, licensors, or service providers be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Service, regardless of the cause of action or the theory of liability (whether in contract, tort, statute, or otherwise), and even if we have been advised of the possibility of such damages.

In no event shall our aggregate liability for any and all claims arising out of or relating to these Terms or the Service exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you actually paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any of the above limitations are not enforceable under applicable law, they apply to the fullest extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless FinanceIQ, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) any content or data you submit through the Service; (c) your violation of these Terms or any law or regulation; or (d) your violation of any third party's rights.

14. Termination

You may close your account at any time from the Settings page. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms. Upon termination, your right to use the Service ends immediately. Sections 5, 9 (last sentence), 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of Washington, without regard to its conflict-of-laws principles.

Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language and seated in Seattle, Washington. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and FinanceIQ each agree to bring disputes only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.

Small-claims exception: either party may bring an individual action in small-claims court for disputes within the court's jurisdiction.

16. Changes to These Terms

We may revise these Terms from time to time. If we make a material change, we will provide notice through the Service or via email. Your continued use of the Service after the change takes effect constitutes acceptance of the revised Terms. The "Effective date" at the top of this document reflects when these Terms were last updated.

17. General Provisions

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and FinanceIQ regarding the Service.

Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign them freely, including to a successor in connection with a merger or sale.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
